At Mimo, we are taking innovation to the next level by building technologies to make it easy for you to buy, send, earn, and spend digital assets. These terms and conditions, including the Schedules (“Terms of Service”), are the rules for using our website https://aya.cash (“Site”) and the Aya Wallet (the “Services”) and show how we will be providing the Services to you.
Please take the time to read through our Terms of Service before using our Site and/or any of the Services as they form a binding legal agreement between you and Mimo. The term “you” refers to you individually or the legal entity on whose behalf you use the Services, as applicable.
1. Who we are and how to contact us
1.1. Our Site, and Services are operated by Mimo Initiative Ltd, registered in the Republic of the Seychelles under company number 228264 and have our registered office at Suite 309, Capital City Building, Independence Avenue, Victoria, Mahé, Republic of Seychelles. Our site might also refer to other Mimo group companies ("Mimo", “we” or “us”).

2. Acceptance of terms
2.1. By accessing or using the Site or Services you agree to these Terms of Service. If you do not agree, do not use the Site or Services.
2.2. Eligibility: you must be legally able to enter into contracts and not be subject to any sanctions or restrictions preventing use of the Services.
3. Additional applicable terms
3.1. These Terms reference our Privacy Policy which governs processing of personal data. You should review the Privacy Policy before using the Services.
3.2. Separate product-specific terms (e.g., Wallet Terms) may apply for certain features; where there is conflict, those product terms will govern.

4.1. We may amend these Terms from time to time. Material changes will be notified via the Site, the Services, or email. Continued use after changes constitutes acceptance.
5. Changes to the Site and Services
5.1. We may modify or discontinue features or Services at any time. It is your responsibility to keep up to date with such changes.

6.1. Mimo (or its licensors) retains all intellectual property rights in the Site and Content. You are granted a limited license to use the Site as permitted by these Terms.
7. Disclaimers — no financial advice
7.1. The Site and Services do not constitute financial, investment, tax, or legal advice. You should seek professional advice before making decisions based on content provided via the Site or Services.
8. Third-party sites and integrations
8.1. We may link to or integrate third-party services (dApps, exchanges, explorers). Those are governed by separate terms and we are not responsible for their operations, content or policies.
9. User obligations
- Keep your account credentials and recovery phrase secure; we will never ask for your full recovery phrase.
- Provide accurate information and comply with applicable laws when using the Services.
- Do not use the Services for unlawful activities, including sanctions evasion or money laundering.
10. Liability and indemnity
10.1. To the maximum extent permitted by law, Mimo and its affiliates shall not be liable for indirect, incidental, special, or consequential losses arising from your use of the Site or Services.
10.2. You agree to indemnify and hold Mimo harmless from claims, losses, liabilities, and expenses arising from your breach of these Terms or your misuse of the Services.
11. Suspension and termination
11.1. We may suspend or terminate access to the Services for breach of these Terms, suspected fraud, or legal/regulatory reasons.
11.2. Some sections may survive termination (e.g., liability, indemnity, intellectual property).
12. Governing law and dispute resolution
12.1. These Terms are governed by the laws specified in the Schedule or the jurisdiction indicated by Mimo. If a dispute arises, please contact support so we can attempt to resolve it informally before pursuing formal proceedings.
13. Miscellaneous
- Entire agreement: these Terms (and referenced documents) constitute the entire agreement between you and Mimo concerning the Services.
- Severability: if part of these Terms is unenforceable, the remainder remains in effect.
- Waiver: failure to enforce a right is not a waiver of that right.
